Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and [COMPANY_NAME] ("Traxium", "we", "us", or "our"), the operator of the Traxium fleet management platform accessible at www.traxium.in.
By creating an account, clicking "Register", or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Description of Service
Traxium is a cloud-based fleet management platform that provides the following capabilities to registered businesses:
- GPS Tracking — Real-time and historical vehicle location tracking via integration with Wheelseye and other GPS providers
- Trip Management — Creation, tracking, and management of trips including origin, destination, route, and turnaround time analytics
- Document Storage — Secure storage and management of vehicle documents including Registration Certificates, insurance policies, permits, and other compliance documents
- Fleet Dashboard — Unified visibility over your entire vehicle fleet, driver assignments, and operational metrics
- Notifications — Automated alerts via WhatsApp and in-app notifications for trip events, document expiry, and geofence activity
We reserve the right to modify, add, or remove features at any time. Material changes will be communicated with reasonable advance notice.
Account Registration
Access to Traxium requires registration. The registering party ("Account Owner") creates an organization account and receives administrator privileges. The Account Owner is responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of all login credentials
- All activities that occur under the registered account, including actions by employees and sub-users
- Promptly notifying Traxium of any unauthorized access or security breach
- Ensuring that all users added to the account comply with these Terms
You must be at least 18 years of age and represent a legitimate business entity to register. Traxium reserves the right to refuse registration or suspend accounts at its discretion.
Free Trial
New accounts receive a 30-day free trial with full access to the Traxium platform. No payment information is required during the trial period.
The following conditions apply to the free trial:
- Full access to GPS tracking, trip management, document storage, and the fleet dashboard
- WhatsApp Business alerts are not included in the free trial (a customer-provided WhatsApp Business API key is required for this feature on paid plans)
- Trial data is retained and carried over automatically when you upgrade to a paid plan
- Only one free trial per organization is permitted
At the end of the trial period, the account will be restricted to read-only access until a paid subscription is activated. No data will be deleted during this grace period.
Paid Plans & Billing
After the trial period, continued use of the Service requires a paid subscription. The following terms govern billing:
- Subscriptions are billed on a monthly basis, with charges applied at the start of each billing cycle
- Pricing details are published on www.traxium.in and are subject to change with 30 days advance notice
- Payments are processed securely via Razorpay. By subscribing, you agree to Razorpay's terms of service and authorize us to charge your selected payment method
- All prices are in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise
- Failed payments will result in account suspension after a 7-day grace period
- Refunds are not provided for partial billing periods. You may cancel at any time, and access will continue until the end of the current billing cycle
Data Ownership
You retain full ownership of all data you input into the Traxium platform, including vehicle records, trip data, driver information, and uploaded documents ("Customer Data").
By using the Service, you grant Traxium a limited, non-exclusive, worldwide license to store, process, and display your Customer Data solely for the purpose of providing and improving the Service. We will not use your Customer Data for any other purpose without your explicit consent.
Traxium will implement commercially reasonable technical and organizational measures to protect Customer Data against unauthorized access, alteration, or destruction. Refer to our Privacy Policy for full details of our data handling practices.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following conduct is strictly prohibited:
- Using the Service for any illegal activity, including but not limited to unauthorized surveillance or tracking of individuals without their knowledge and consent
- Sharing account credentials with users outside your organization
- Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Traxium platform
- Uploading malicious code, viruses, or any content designed to disrupt, damage, or gain unauthorized access to systems
- Attempting to access another customer's data or circumventing any tenant isolation mechanisms
- Overloading the platform through automated requests, scraping, or denial-of-service attacks
- Misrepresenting your identity or affiliation when using the Service
Violation of these terms may result in immediate account suspension and, where applicable, referral to law enforcement authorities.
Third-Party Integrations
Traxium integrates with the following third-party services to deliver its functionality:
- Wheelseye GPS — Real-time vehicle tracking data. Customers must hold a valid Wheelseye account and provide their own API credentials
- Google Maps — Mapping and route visualization. Subject to Google's Terms of Service
- WhatsApp Business API — Automated notifications. Customers must provide their own WhatsApp Business API key and are responsible for compliance with Meta's messaging policies
The availability and accuracy of data from these third-party providers is outside Traxium's control. Traxium is not responsible for any disruptions, inaccuracies, or limitations arising from these integrations. By using these features, you agree to the respective terms of service of each provider.
You are solely responsible for obtaining and maintaining valid API credentials for any third-party service you connect to Traxium. Traxium stores these credentials securely and uses them only to provide the Service.
Service Availability
Traxium will make commercially reasonable efforts to maintain platform availability. However, we do not guarantee uninterrupted access and provide no formal Service Level Agreement (SLA) at this time.
- Planned maintenance windows will be announced at least 24 hours in advance via email and/or in-app notification
- We are not liable for downtime caused by third-party infrastructure providers, internet disruptions, or force majeure events
- GPS tracking data is sourced in real time from Wheelseye; delays or gaps in tracking data may occur and are outside our direct control
In the event of a service outage, our team will work to restore access as quickly as reasonably possible. Updates will be communicated through our official channels.
Termination
Either party may terminate the agreement at any time:
- By You: You may cancel your subscription at any time from your account settings. Access will remain active through the end of the current billing cycle
- By Traxium: We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that poses a risk to the platform or other customers
Data Retention After Termination: Following cancellation or termination, your Customer Data will be retained for a period of 30 days to allow you to export your data. After this 30-day retention period, all Customer Data will be permanently and irrecoverably deleted from our systems.
Upon termination, your right to access and use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so, including but not limited to ownership provisions, warranty disclaimers, and limitation of liability.
Limitation of Liability
To the maximum extent permitted by applicable law, Traxium and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
In particular:
- GPS location data is sourced directly from Wheelseye and is provided as-is. Traxium is not responsible for any inaccuracies, delays, or gaps in tracking data
- Traxium is not liable for business decisions made on the basis of data displayed in the platform
- Traxium is not liable for losses arising from unauthorized access to your account where such access results from your failure to maintain credential security
- Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid to Traxium in the three months preceding the claim
Modifications to Terms
Traxium reserves the right to update or modify these Terms at any time. When we make material changes, we will:
- Provide at least 30 days advance notice via email to the registered account administrator
- Display a prominent notice within the Traxium platform
- Update the "Last Updated" date at the top of this page
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service before the effective date and may cancel your account.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms, including disputes relating to their validity, breach, termination, or interpretation, shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct negotiation for a period of at least 30 days.
